Terms and Conditions for Dishly

Welcome to Dishly! These Terms of Service (“Terms”) govern your access to and use of Dishly’s platform, services, and related systems (collectively, the “Service”). By using the Service, you agree to these Terms, our Privacy Policy, and any other legal notices provided by Dishly. If you do not agree, you may not use our Service.

1. Using Dishly

Dishly provides a CRM platform for businesses (“Clients”) and their customers (“End Users”) to manage online orders, deliveries, scheduling, and related operational workflows. Clients are responsible for how they use the platform, including compliance with applicable laws, regulations, and industry standards.
By creating an account, you represent and warrant that you are legally authorized to use Dishly, that you are at least 18 years old, and that you have full authority to bind your organization to these Terms.
Clients are responsible for managing their account credentials, maintaining the security of their account, and ensuring that their employees or internal users comply with these Terms. Dishly is not liable for any loss or damage resulting from unauthorized access to your account.

2. Ownership and Usage Rights

When you subscribe to Dishly, you gain the right to use our CRM platform and related services according to your selected plan. Your subscription allows you to manage your business operations, including customer data, orders, meal plans, deliveries, and communications.
Dishly offers multiple subscription plans with varying features. Invoices for your subscription will be sent to the email associated with your account. Payments are due within 8 calendar days of receiving the invoice. If payment is not received by the due date, Dishly reserves the right to temporarily suspend or disconnect your access to the platform until the outstanding balance is paid.
You retain ownership of your business data entered into Dishly, including customer information and operational records, but may not resell or redistribute the Dishly platform or its features. Refunds, if applicable, are handled according to Dishly’s Refund Policy.

3. Service Availability and Modifications

Dishly will make reasonable efforts to ensure the Service is available and operational. However, the Service is provided “as is” and “as available,” and Dishly does not guarantee uninterrupted access, error-free operation, or that all functions will meet your expectations.
Dishly may modify, update, or discontinue features of the Service at any time, without prior notice. Major changes will be communicated to Clients via email or through the platform.

4. Intellectual Property

All intellectual property rights in the Service, including software, platform content, logos, trademarks, and documentation, are owned by Dishly or its licensors. You may not copy, modify, distribute, or create derivative works from any part of the Service without express written consent from Dishly.
Clients may use the Service to manage their business operations and create content related to their own End Users, but this use does not grant any ownership rights in Dishly’s intellectual property.

5. Data Protection and Privacy

Your use of the Service is subject to our Privacy Policy. Dishly acts as a Data Processor, while Clients act as Data Controllers for End Users. Clients are responsible for obtaining any necessary consents from End Users and ensuring lawful processing of personal data.
Dishly will implement reasonable technical and organizational measures to protect personal data but cannot guarantee absolute security. Clients remain responsible for managing access and protecting sensitive information within their account.

6. Prohibited Uses

You may not use the Service for unlawful, harmful, or abusive purposes. Prohibited actions include, but are not limited to:
Uploading illegal content or infringing intellectual property rights
Attempting to access other accounts or systems without authorization
Distributing malware, spam, or other harmful content
Using the Service in a way that interferes with its operation or other users’ experience
Dishly reserves the right to investigate violations and take appropriate action, including account suspension, termination, or legal action.

7. Termination

Dishly may suspend or terminate accounts or access to the Service at any time for violation of these Terms or applicable laws. Clients may terminate their account at any time by following the procedures within the platform. Upon termination, Dishly will delete Client data according to the Privacy Policy and applicable laws, except where retention is required by law or for legitimate business purposes.

8. Governing Law

These Terms are governed by the laws of Ukraine.

9. Updates to the Terms

We may update these Terms from time to time. Users will be notified of any changes via email.
